Leadership Opportunities through DFA Responsibilities

Each DFA member elects three people to represent them
in the governance structure of the cooperative (delegate, resolutions
committee member and area council member).
Delegates
- Represent members in all matters that may be, or are required by law
to be submitted to members for a vote
- Elect Corporate Board
- Approve resolutions
Resolutions Committee
- Provides DFA leadership grassroots guidelines for making decisions
on local, regional and national issues
Area Council Members
- Provide general supervision and control over the business and affairs
of the Area including: Area member communications, the cost of balancing
plants in Area, and facilitating Area member meetings
- Commit the Association for membership in or contributions to local,
state, and regional organizations
- Advise management with respect to:
- day to day fluid milk marketing programs
- milk collection systems in Area
- laboratory services
- payments to members including patronage proceeds
- compliance with the Marketing and Membership Agreement and terminations
of memberships in Area
- Approve membership applications
Corporate Board
- consists of
representatives from each Area Council, elected by the delegates
- Direct and control the business and affairs of cooperative
- Employ CEO, legal & audit counsel
- Subject to Bylaws
- Set policy
- Set boundaries of Areas
- Establish duties of Area Councils
- Establish financial structure
- Approve capital budgets & expenditures
